This Dealer Policy outlines the terms and conditions for authorized dealers of Europa Ventures. It ensures fair business practices, protects brand value, and builds long-term relationships with our dealer network across Nepal.
Eligibility
Dealers must have a valid business license and GST/PAN registration (as applicable). Minimum purchase order requirements must be met to qualify as an authorized dealer. Dealers should have a physical showroom, tile gallery, or an established online sales platform. Experience in tiles, flooring materials, or related building materials is preferred.
Pricing & Payment Terms
Dealers will receive products at pre-approved wholesale/dealer prices. Payment terms are as agreed (Advance / Credit period if applicable). Prices are subject to change with prior notice based on raw material costs, import duties, currency fluctuations, demand, or market trends. Special promotional pricing may be offered periodically to support dealers in competitive markets.
Ordering & Delivery
Minimum order quantity (MOQ) must be met as specified for each tile category. Orders should be placed through the official channel (email/portal/sales representative). Delivery timelines are typically 3-7 working days from order confirmation, depending on product availability and location. Freight/shipping charges apply as per agreement. For bulk orders or special collections, custom delivery schedules will be arranged.
Product Categories
Europa Ventures supplies premium tiles including floor tiles, wall tiles, vitrified tiles, ceramic tiles, porcelain tiles, designer tiles, outdoor tiles, and related installation materials such as adhesives, grouts, and sealants. Dealers are encouraged to maintain adequate stock of high-demand designs and sizes to serve customers promptly.
Warranty & Returns
Products carry a standard warranty against manufacturing defects as per industry standards. Warranty terms vary by product category and will be clearly communicated. Returns are accepted only for defective or damaged products within 7 days of delivery, after inspection and approval. No returns will be accepted for products damaged due to mishandling, improper storage, installation errors, or usage. Shade variation claims must be reported before installation begins.
Technical Support & Installation
Europa Ventures provides technical documentation, installation guidelines, and product specifications for all tile collections. Dealers are encouraged to work with certified tile installers and masons for professional installations. Technical support is available through our customer service team for product selection, installation queries, and maintenance guidance.
Dealer Responsibilities
Dealers must promote and sell products under the official Europa Ventures brand name without alterations or misrepresentation. Maintain ethical business practices and avoid counterfeit, parallel, or unauthorized products. Provide after-sales support in line with company standards and warranty policies. Display tiles professionally in showrooms with proper sample displays and catalogs where applicable. Avoid unauthorized discounts that may damage brand positioning or market pricing structure. Educate customers on proper tile selection, installation methods, and maintenance requirements.
Marketing & Branding
Dealers may use official logos, brochures, catalogs, sample boards, and promotional material provided by Europa Ventures. Independent advertising, whether print, digital, or outdoor, must be pre-approved by the company. Online listings on e-commerce platforms, social media, or dealer websites must follow brand guidelines for pricing, product descriptions, images, and specifications. Misleading advertisements or unauthorized use of brand assets will result in immediate policy violation.
Display & Showroom Standards
Authorized dealers are expected to maintain professional showroom displays featuring Europa Ventures tile collections. Sample displays should be kept clean, well-organized, and properly labeled with product specifications. Catalogs and product brochures must be readily available for customer reference. Dealers participating in co-branding initiatives may receive support for showroom setup and branding materials.
Territory & Exclusivity
Dealer territories will be assigned based on location, market potential, and dealer capacity. Exclusivity may be granted in specific regions for dealers who meet performance targets and maintain adequate inventory. Europa Ventures reserves the right to appoint additional dealers in any territory to ensure market coverage and customer service.
Performance & Incentives
Dealers meeting quarterly or annual sales targets may qualify for performance-based incentives, discounts, or bonuses. High-performing dealers will receive priority access to new tile collections and exclusive designs. Regular performance reviews will be conducted to assess sales volume, customer satisfaction, and adherence to policy guidelines.
Termination of Dealership
Europa Ventures reserves the right to terminate the dealership agreement with immediate effect if the dealer violates pricing, branding, or product quality policies, defaults on payments repeatedly or exceeds agreed credit periods, misrepresents products, brand, or warranty terms, engages in fraudulent activities or unethical business practices, fails to meet minimum purchase requirements for consecutive periods, or sells counterfeit or unauthorized competing products. Upon termination, the dealer must cease using all Europa Ventures branding immediately and settle outstanding payments within the agreed timeframe.
Dispute Resolution
Any disputes arising from this dealership agreement will first be resolved through mutual discussion and negotiation. If unresolved, disputes will be subject to arbitration in accordance with applicable commercial laws. Both parties agree to maintain confidentiality during dispute resolution proceedings.
Amendments & Updates
Europa Ventures reserves the right to modify this Dealer Policy with prior written notice to all authorized dealers. Major policy changes will be communicated at least 30 days in advance. Continued dealership after policy updates constitutes acceptance of the revised terms.
Governing Law
This policy is governed by and interpreted in accordance with the laws of Nepal. All legal matters will be subject to the jurisdiction of courts in Kathmandu, Nepal.
